3. Client Obligations

When engaging our services, you agree to:

• Provide accurate and complete information necessary for project completion
• Respond to requests for feedback and approvals in a timely manner
• Pay all fees according to agreed-upon terms
• Respect intellectual property rights
• Use our services in compliance with all applicable laws and regulations

4. Payment Terms

Payment terms are established in individual service agreements. Generally:

• Project deposits are required before work begins
• Invoices are due within 30 days unless otherwise specified
• Late payments may incur interest charges
• Services may be suspended for non-payment
• All fees are exclusive of applicable taxes

5. Intellectual Property Rights

Client Work: Upon full payment, clients receive ownership of custom-developed work products as specified in the project agreement.

OAHKS Digital Property: We retain ownership of our proprietary tools, frameworks, methodologies, and any pre-existing intellectual property used in delivering services.

Third-Party Software: Any third-party software or services integrated into client projects remain subject to their respective licenses.

6. Confidentiality

We maintain strict confidentiality of client information. Both parties agree not to disclose confidential information without prior written consent, except as required by law. This obligation survives the termination of our agreement.

7. Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. However:

• Services are provided "as is" without warranties of any kind beyond those explicitly stated
• We do not guarantee specific business results or outcomes
• We are not responsible for third-party service failures or interruptions
• Clients are responsible for backing up their own data

8. Limitation of Liability

To the maximum extent permitted by law, OAHKS Digital's total liability for any claims arising from our services shall not exceed the total fees paid by the client for the specific services giving rise to the claim. We are not liable for any indirect, incidental, consequential, or special damages, including lost profits or business interruption.

9. Termination

Either party may terminate services:

• With written notice as specified in the service agreement
• Immediately for material breach of terms
• Immediately if the other party becomes insolvent

Upon termination, client is responsible for payment of all services rendered up to the termination date.

10. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services after changes constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OAHKS Digital operates, without regard to its conflict of law provisions.
